So... you've started your own business or organization and now you want to learn how to go about incorporating it. This guide is intended to show you just how to do it, even if it involves incorporating yourself or your family. This guide can also be used for incorporating an organization or society. By incorporating your small business you are taking the necessary actions to keep the financial involvements of your business separate from your personal and that of its members. There are many advantages and disadvantages of incorporating you business. Before you consider leaping into incorporation, you may want to consider consulting an attorney or an accountant.

The most widely recognized advantage of incorporating your business is that your liability is limited to the amount you invested in the corporation. In the event your business turns out unsuccessful or is sued, your personal property and home cannot be lost as it can be in a partnership or other unincorporated business. Another advantage allows you the opportunity to withdraw from a corporation by selling your stock. A corporation may defer tax payments, spread its taxable income over several different family members, and provide such fringe benefits as pensions and insurance as a business expense.

On the other hand, your income earned from a corporation and corporate benefits are taxed. Also, the activities of corporation are limited to only those granted in its charter. Another important disavantage to consider is that a corporation must gain permission to operate in other states and follow each state's regulations. It is also significant for the corporation to keep detailed records and file numerous reports in each state which business is done. Finally, keep in mind that corporate work done by private attorneys is generally quite costly.

You must file articles of incorporation with the state secretary of state to form a corporation. Such articles to be filed give the name of the corporation, it's intended duration --- how long you intend to continue your corporation ---, its purposes, its address, as well as the names, numbers, and addresses of the incorporators. Please note that there will be a filing fee for each business or organization that is being filed.
