How to Register a Partnership or LLC in Nebraska

Nebraska has a One-Stop Business Registration Information Center that can help you determine the state filing requirements for setting up your business. By answering a few pertinent questions about your business, the system will indicate what forms you need to file and will provide links and contacts.

The filing requirements for registering a partnership depend on whether it is a general partnership or a limited liability partnership. According to the Nebraska Secretary of State, there are no formal requirements for a general partnership.

To register a limited liability partnership in Nebraska, you need to file a Statement of Qualification as a Limited Liability Partnership. The fee for this filing is $205 plus $5 for each additional page.

For a limited liability partnership you also need to file an Application for Registration of Trade Name. The filing fee is $100. You must also publish a legal notice in a newspaper of general circulation that you have registered a trade name. After the newspaper has published your notice, you will receive a notarized Affidavit of Publication. You must file this affidavit with the Nebraska Secretary of State and with the office of the County Clerk in the county where your principal business office is located within 45 days. According to the Nebraska statutes, to form a limited partnership, all the persons who will initially be the general partners must also file a certificate of limited partnership with the Nebraska Secretary of State. The information on the certificate must include the name of the limited partnership, the address of its office and the address of its agent, the name and address of each general partner, and any other matters the partners decide to include.

If you are forming a limited liability company and you want to reserve a name, you can file an Application for Reservation of Limited Liability Company Name. If the name is available, it is reserved for 120 days. The fee for this application is $15.

To register the trade name for a limited liability company, you must file an Application for Registration of Trade Name. The filing fee is $100. Registering the name of a limited liability company has the same requirements for publishing a legal notice in a newspaper as for a limited liability partnership.

According to Nebraska statutes, to set up a limited liability company in Nebraska, one or more of the organizers must file a certificate of organization with the Nebraska Secretary of State. The certificate of organization must include the name of the limited liability company, the address of its designated office and the address of its agent. You can set up a single-member limited liability company in Nebraska.

If the limited liability company will provide a professional service, the certificate of organization must indicate that the persons who will provide the service are licensed or legally authorized in Nebraska.
